This is a template policy drafted for TestPulseQA based on the business's own outline. It is not a substitute for review by a licensed attorney in your state before you rely on it as a binding legal document. This policy supplements, and is incorporated by reference into, the Developer Partner Agreement. If anything here conflicts with that Agreement, the Developer Partner Agreement controls unless this policy is more specific to the topic of referral fees, in which case this policy controls on that topic.
A "Referral" is any customer whom TestPulseQA introduces to Developer through our developer network — for example, by sending the customer's contact information and project details to Developer after the customer submits a "Need a Website" request on testpulseqa.com, or by directly connecting Developer and the customer by email or other communication on TestPulseQA's behalf.
A customer who finds Developer independently — without any introduction, recommendation, or contact information passed along by TestPulseQA — is not a Referral, even if that customer separately becomes aware of Developer through TestPulseQA's public marketing materials (such as a blog post or general directory listing), unless TestPulseQA facilitated a direct introduction.
Once a customer is introduced to Developer, that customer remains attributed to TestPulseQA for twelve (12) months from the date of introduction (the "Attribution Window"). Any paid engagement between Developer and that customer that begins within the Attribution Window is subject to the Referral Fee under Section 4, even if the engagement is formally signed, re-negotiated, or invoiced after the Attribution Window closes.
If the customer engages Developer again for new, separate work more than 12 months after the original introduction, and there has been no continuous relationship or negotiation bridging that gap, the new engagement is not subject to a Referral Fee.
A Referral Fee is earned the moment a Referral pays Developer any amount toward a project — including a deposit, retainer, milestone payment, or full payment. The fee is earned even if the project is later paused, modified in scope, or ends early, because it attaches to amounts actually paid, not to project completion.
Developer does not owe a Referral Fee on work discussed with, but never paid for by, a Referral. If a Referral requests a quote and does not proceed, no fee is owed.
The Referral Fee is 10% of the total amount paid by the Referral to Developer for the engagement, including the original project scope and any additional or follow-on work performed for that same customer within the Attribution Window. Follow-on work subject to the Referral Fee includes, without limitation:
The fee is calculated on gross amounts paid by the customer to Developer, before Developer's own expenses, subcontractor costs, or taxes.
| Item | Detail |
|---|---|
| Referral Fee rate | 10% of total amount paid by the customer |
| Applies to | Original project + follow-on work within the Attribution Window |
| Calculated on | Gross payments received by Developer from the customer |
Developer agrees to notify TestPulseQA within five (5) business days of closing a deal with a Referral — meaning the point at which the customer agrees to move forward and makes a first payment. The notification should include the customer's name, a brief description of the project, and the total agreed project value (or best current estimate, if the scope is still evolving).
Developer agrees to promptly report any additional payments received from that same customer during the Attribution Window (for example, milestone payments or follow-on work), so that TestPulseQA can invoice accordingly.
After Developer reports a closed deal or payment, TestPulseQA will send Developer an invoice for the Referral Fee owed. Developer agrees to pay each invoice within fifteen (15) days of the invoice date. Invoices may be paid by the method(s) TestPulseQA makes available (for example, bank transfer or a card payment link included on the invoice).
If a Referral Fee invoice is not paid within 15 days of the invoice date, TestPulseQA may:
Unpaid Referral Fees may accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, if lower), from the date payment was due until paid in full, consistent with Section 5 (Referral Fees) of the Developer Partner Agreement.
Failure to report a closed deal as required by Section 5, where TestPulseQA later becomes aware of it independently (for example, through the customer), will be treated the same as non-payment under this section.
If a customer requests a refund from Developer, or a payment is reversed through a chargeback, after TestPulseQA has already invoiced or been paid a Referral Fee on that payment, TestPulseQA will refund the corresponding portion of the Referral Fee to Developer — provided Developer notifies TestPulseQA of the refund or chargeback within thirty (30) days of it occurring and provides reasonable documentation (such as a refund confirmation or chargeback notice).
If a Referral Fee invoice is still outstanding at the time of a refund or chargeback, the invoiced amount is reduced accordingly before payment is due.
TestPulseQA introduces a Shopify store owner to Developer. Developer quotes $4,000 for a redesign, and the customer pays in full. The Referral Fee is 10% of $4,000 = $400, invoiced to Developer and due within 15 days.
Developer agrees to a $10,000 project with a customer introduced by TestPulseQA, billed as a $3,000 deposit and two $3,500 milestone payments. A Referral Fee is owed on each payment as it's received: $300 on the deposit, then $350 on each milestone, reported and invoiced as they occur.
Six months after the original project closes, the same customer pays Developer an additional $1,500 for new features. Because this is within the 12-month Attribution Window, a Referral Fee of $150 is owed on that additional payment.
Fourteen months after the original introduction, the same customer independently reaches back out to Developer for an unrelated new project. Because this is outside the 12-month Attribution Window and is a genuinely new, separate engagement, no Referral Fee is owed on this new project.
